Terms of Service

These Terms govern access to Novus and apply to all creators, team members, and account administrators using our website and application.
1) Scope of Service
Novus provides newsletter creation, publishing, and automation software. Novus acts as a platform bridge between creators and third-party infrastructure providers such as email delivery vendors, analytics tools, payment processors, and hosting providers.
You are responsible for selecting and configuring your providers, including sender identities, API credentials, and third-party service terms.
2) Account & Security Responsibilities
You are responsible for account credentials, team access control, connected provider keys, and actions taken under your account. You must keep credentials confidential and promptly rotate compromised keys.
You must maintain accurate account data, including legal entity details when required for billing, payment processing, and compliance notices.
3) Acceptable Use & Prohibited Conduct
You may not use Novus for unlawful, deceptive, abusive, hateful, fraudulent, or spam-focused activities. You may not attempt to bypass safeguards, abuse rate limits, or use scraped/unauthorized subscriber data.
We may investigate and restrict activity that introduces security, legal, deliverability, or platform reliability risk.
4) Messaging & Compliance Obligations
You must send only to lawfully obtained recipients and comply with applicable messaging and privacy laws (including consent, disclosure, sender identity, and unsubscribe obligations). Novus provides tooling to support compliance, but legal responsibility remains with you.
Before sending campaigns, you agree to review and accept the latest Terms and Privacy requirements in the editor and maintain records demonstrating lawful basis where required.
5) AI Features & Content Responsibility
AI-generated outputs are assistive and may contain inaccuracies. You must review generated content, links, claims, and compliance language before publishing or sending.
You are responsible for ensuring that your outputs, prompts, and training context do not violate third-party rights, confidentiality obligations, or applicable law.
6) Billing, Plans, Credits & Changes
Paid plans renew on the selected billing cycle. Feature access, usage limits, and AI credit behavior are governed by your active plan and may update over time. Certain purchases (including top-ups) may be non-refundable except where required by law.
You are responsible for taxes, charge disputes, and keeping payment information current.
7) Data Processing, Availability & Service Changes
Service is provided on an "as available" basis. We may update, suspend, or replace features to maintain security, reliability, and product quality. We may apply maintenance windows, abuse protections, and operational controls.

8) Suspension, Termination & Enforcement
You may stop using Novus at any time. We may suspend or terminate access for violations of these Terms, legal requirements, provider abuse complaints, payment non-compliance, or activity that materially risks platform integrity.
Where practicable, we provide notice and remediation windows before permanent action.
9) Liability, Indemnity & Dispute Framework
To the maximum extent permitted by law, Novus is not liable for indirect, incidental, consequential, special, or punitive damages arising from use of the platform or third-party services. You agree to indemnify Novus against claims arising from your content, campaigns, data practices, or legal non-compliance.
If any term is unenforceable, remaining provisions stay in effect.
